1. Acceptance of Terms

By accessing or using ProjexMaster (the “Platform”), operated by BOTFORCE Technology GmbH (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and BOTFORCE Technology GmbH, a company registered in Austria (FN 123456a, Handelsgericht Wien) with its registered office at Wienerbergstraße 11/12A, A-1100 Wien, Österreich.

2. Description of Service

ProjexMaster is a digital marketplace platform (IT project talent marketplace) that connects IT project freelancers with companies seeking qualified professionals for project-based mandates. The Platform provides AI-powered matching, mandate browsing, application management, briefing analysis, pipeline monitoring, and interview preparation tools.

ProjexMaster acts as a facilitator and intermediary. We do not employ freelancers, and we are not a party to any contractual agreement between freelancers and companies formed outside the Platform.

3. User Accounts

To use the Platform, you must create an account and select a user role:

• Freelancer: Individual professionals seeking project-based mandates. Freelancer accounts are free.
• Company: Organizations posting mandates and seeking freelance talent. Company access is subject to subscription tiers.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You must be at least 18 years of age to create an account. Each individual may maintain only one account.

4. Freelancer Terms

• Freelancer accounts are free forever. No subscription or payment is required.
• You must ensure that your profile information, including skills, experience, qualifications, and CV content, is accurate and up to date.
• Rate information displayed on your profile should reflect your actual expectations. You acknowledge that rate data may be used in aggregate form for market insights.
• You are responsible for keeping your availability status current. Inaccurate availability information may negatively affect your matching score and platform standing.
• When applying to mandates, you confirm that you have the skills and availability described in your application.
• You acknowledge that ProjexMaster does not guarantee placement or engagement with any company.
• You may delete your account at any time through the account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

5. Company Terms and Subscription

• You must ensure that all mandate postings accurately describe the project scope, required skills, timeline, location requirements, and budget range.
• Access to certain Platform features is subject to subscription tiers:
  • Free: Limited mandate postings and talent browsing.
  • Starter (€199/month): Enhanced access to talent pool, AI matching, and more mandate slots.
  • Growth (€499/month): Full talent pool access, advanced analytics, priority support.
  • Enterprise: Custom pricing, dedicated support, API access, and custom integrations.
• Subscription fees are billed monthly. Payment is due within 14 days of invoice date. All prices are exclusive of applicable VAT (Umsatzsteuer).
• Companies may cancel their subscription at the end of any monthly billing period. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial months.
• You agree not to use the Platform to post misleading, fraudulent, or discriminatory mandates.
• You acknowledge that ProjexMaster does not guarantee the availability or suitability of any freelancer.

6. AI Features Disclaimer

ProjexMaster uses artificial intelligence to provide features including but not limited to: freelancer-mandate matching, briefing analysis, interview preparation guidance, pipeline health monitoring, and market insights.

You acknowledge and agree that:

• AI-generated matching scores and recommendations are informational only and do not constitute a guarantee of suitability, fitness, or successful engagement.
• Briefing analysis and interview preparation content are provided for guidance purposes only and should not be relied upon as professional advice.
• Pipeline Health Scores and seasonal risk alerts are indicative metrics and do not guarantee any specific outcome regarding mandate acquisition or contract continuity.
• AI outputs may contain inaccuracies. You are responsible for verifying any information or recommendations before acting on them.
• We continuously improve our AI features and outputs may vary over time.

7. Intellectual Property

The Platform, including its design, features, code, and branding, is the intellectual property of BOTFORCE Technology GmbH and is protected by Austrian and international copyright, trademark, and other intellectual property laws.

ProjexMaster is a registered trademark of BOTFORCE Technology GmbH.

You retain ownership of any content you submit to the Platform (e.g., profile information, mandate descriptions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process such content for the purpose of operating and improving the Platform.

8. Limitation of Liability

To the maximum extent permitted by applicable Austrian law:

• The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
• BOTFORCE Technology GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
• We are not liable for any outcomes resulting from engagements arranged through the Platform, including but not limited to disputes between freelancers and companies.

9. Termination

Freelancers may delete their account at any time through the account settings. Upon deletion, your access to the Platform will be revoked, and your personal data will be handled in accordance with our Privacy Policy.

Companies may cancel their subscription at the end of any monthly billing period. Cancellation takes effect at the end of the current billing cycle. Account deletion can be requested at any time.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or behave in a manner that is harmful to other users or the Platform. We will provide reasonable notice where practicable.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Austria, without regard to conflict of law principles.

Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Handelsgericht Wien (Commercial Court of Vienna), unless mandatory consumer protection laws provide otherwise.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
